1. Introduction

Welcome to Rank Eats (“we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of our website at www.rankeats.com (the “Site”). By registering or accessing the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Definitions

• User: Anyone accessing or using the Site.

• Voter/Reviewer: A User who registers to cast votes and write reviews.

• Restaurant Owner: A User who registers to claim and manage a restaurant.

• Content: All text, images, reviews, votes, and other materials submitted by Users.

3. Eligibility

To use the Site, you must be at least 18 years old and legally permitted to enter into these Terms under U.S. law. By creating an account, you represent and warrant that you meet these eligibility criteria.

4. Account Registration

You may register as either a Voter/Reviewer or a Restaurant Owner (but not both). When registering, you agree to:

• Provide accurate, current, and complete information.

• Maintain and promptly update your account information.

• Be responsible for all activities under your account.

5. Voting Rules

Only Voter/Reviewer accounts may cast votes. Voting rules:

• You may vote for any restaurant or menu item in any U.S. state or city.

• You are permitted only one vote per restaurant and one vote per menu item in each state and each city.

• Votes are final and may not be changed once submitted.

• Restaurant Owners are not permitted to vote.

6. Reviews

Voter/Reviewers may submit written reviews for any restaurant or menu item. Reviews must comply with our Community Guidelines. Restaurant Owners may not submit reviews.

7. Restaurant Owner Claims & Management

To manage a restaurant listing, a Restaurant Owner must:

• Submit a “Claim Restaurant” request via the dashboard.

• Provide proof of ownership or authorization.

• Upon approval, gain access to a management dashboard to update hours, menus, photos, and respond to reviews.

• Restaurant Owners are prohibited from casting votes or writing reviews for any restaurant or menu item on the Site.

8. Prohibited Conduct

You agree not to:

• Create multiple accounts to circumvent voting limits.

• Post defamatory, obscene, or illegal content.

• Use automated systems to harvest votes or reviews.

• Interfere with the Site’s operation or security.

9. Intellectual Property

All content on the Site, except User-generated reviews and votes, is our property or licensed to us. By submitting Content, you grant us a worldwide, royalty-free, perpetual license to use, display, and distribute your Content.

10. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

11. Limitation of Liability

IN NO EVENT WILL RANK EATS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE.

12. Changes to Terms

We may modify these Terms at any time. We will post the updated Terms with a new “Effective Date.” Continued use of the Site after changes constitutes acceptance.

13. Termination

We reserve the right to suspend or terminate your account for violations of these Terms or misuse of the Site, without notice.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
